  • Legal and Compliance Officer

    Organizational Scope
    Job Title: Legal and Compliance Officer
    Department: Legal and Compliance Division Communication
    Reports to: Head, Legal and Compliance Division
    Supervises: NA

    OVERALL PURPOSE:
    To ensure compliance with legal and regulatory matters affecting the Company and to support the activities of the Head of the Legal and Compliance Division

    MAJOR RESPONSIBILITIES:

    1. Provides legal advice and services to all divisions of the Company and supports the Head of the Legal and Compliance Division.

    2. Helps negotiate, draft and review contracts of the Company.

    3. Coordinates with regulators on legal, regulatory and policy matters affecting the operations and initiatives of the Company and ensures compliance with SEC and PSE rules and regulations in particular.

    4. Assists in monitoring legal cases handled by external legal counsel.

    5. Assists in the development and maintenance of all legal documents of the company, including internal policies and procedures.

    6. Appears before the various courts and quasi-judicial and administrative agencies on matters directly affecting the Company.

    7. Performs other functions reasonably germane to the foregoing responsibilities as may be assigned from time to time.

    QUALIFICATIONS:

    Education: Member of the Philippine Bar; excellent academic background

    Experience: At least 6 years of relevant working experience

    Knowledge: Good knowledge on financial exchange related legislation and practical mechanisms (securities issuance, trading, clearing, etc.) as well as capital market and government rules and regulations affecting the operations of the Company.

  • Internal Audit Officer

    ORGANIZATIONAL SCOPE
    Job Title : Internal Audit Officer
    Group : AUDIT
    Reports to : Chief Audit Executive
    Supervises : Not Applicable

    OVERALL PURPOSE:

    Provides support to the Chief Audit Executive in the execution of audit plans for the Parent Company as well as the assurance oversight function for the Component Companies.

    MAJOR RESPONSIBILITIES:

    Financial Controls Review
    1. Develops a detailed understanding of the activity under audit, including financial reporting risks and controls in GT Capital and its component and related companies.

    2. Determines if controls are in place to provide management reasonable assurance that financial reporting objectives will be met at the parent as well as its component companies.

    Operations Controls Review
    3. Develops a detailed understanding of the activity under audit, including operational risks and controls in GT Capital and its component and related companies.

    4. Determines if controls are in place to provide management reasonable assurance that operational objectives will be met at the parent as well as its component companies. IT General Controls Review

    5. Develops a detailed understanding of the activity under audit, including IT risks and controls in GT Capital and its component and related companies.

    6. Determines if adequate standards are in place for system development, data center operations and security, data base management and security, network administration and overall information security.

    7. Tests any audit issues to ensure that proper controls are in place which covers the security of the IT requirement all the way down to individual password creation protocol.

    Application Controls Review
    8. Determines the effectiveness of controls over individual application systems which encompass the routines within the computer program code and the procedures and input activities.

    9. Determines all data was processed accurately by the computer.

    Information Security Assessments
    10. Conducts regular assessment to ensure that information contained within an IT system is accessible by authorized personnel only, which includes security on all workstations, servers and databases.

    11. Determines if proper password authentication and creation protocol are being followed as this is critical where classified, financial, or any other regulated information is kept.

    Planning
    12. Assists in the planning of audit engagements of GT Capital and its component and related companies.

    13. Assesses and identifies potential risk of material misstatement/weakness within the audit and systems.

    14. Performs the audit and writes a report of the misstatements, weakness and security risks.

    15. Promote efficient practices by recommending improvements in processing capability, user interface and security designs.

    16. Ensures that GT Capital and its related and component companies have adequate technology and system controls to meet business objectives and customer needs.

    QUALIFICATIONS:
    Education: Bachelor's Degree in Accountancy, Certified Public Accountant

    Experience: At least 4 years as Assurance or Audit Officer from a firm or any financial institutions

    Knowledge: Extensive knowledge on financial and accounting analysis, Philippine Accounting Standards, etc.

    Skills: Strong written and verbal communication skills, proficient computer skills, analytical and numerical skills

  • Analyst

    ORGANIZATIONAL SCOPE
    Job Title : Analyst
    Group : Corporate Planning & Business Development
    Reports to : Head, Corporate Planning
    Supervises : Not Applicable

    ---------------------------------------------------------------------------

    MAJOR RESPONSIBILITIES:

    1. Collaborates with the organization’s functional areas, including Treasury and Finance, Accounting and Financial Control, Legal and Compliance, Investor Relations and Risk Management; and with the group’s operating companies in order to gather and analyze data and to collaborate with counterparts on any senior management’s requirements on a monthly, quarterly and yearly basis.

    2. Analyzes economic market, project, investment, industry and company data and reports.

    3. Analyzes and prepares monthly, quarterly, and annual management reports of operating companies to be presented to the CFO, President, and members of the Executive Committee and Board of the Company. Interprets the financial results and provides insights into the drivers of the various operating companies to assist Senior Management in making key strategic and tactical decisions to drive the growth and performance of the business.

    4. Actively participates in the completion of statutory reporting and regulatory requirements such as SEC Forms 17Q and 17A, Philippine Competition Commission requirements, among others.

    5. Participates in Capital Markets and Mergers and Acquisition (M&A) Activities including, but not limited to: a) the preparation of memos and presentations required for internal approvals; b) the preparation of required regulatory filings and documentation; c) participation in requisite credit agency filings and reviews; d) operational and financial due diligence; e) financial modeling and valuation; and other tasks that may be required from time to time.

    6. Participates in post-issuance, completion, and/or integration activities for Capital Markets and M&A transactions as required.

    7. Provides support to the CFO and President in the preparation of financial models, memos, and presentations, as may be required by Senior Management and the business.

    8. Assists the Department Head in spearheading strategic initiatives of the Company, particularly in relation to assigned operating companies and to other matters as may be directed by the Office of the CFO and the President.

    9. Performs other related duties as may be assigned from time to time.

    Education: Bachelor’s Degree in Finance, Accounting or Business Economics

    Experience: Experience as an Analyst or similar role
